MOTOEXPERT NETWORK PARTNERSHIP AGREEMENT (Inspection Partner) — v1.0

§1 Parties. Stowarzyszenie Międzynarodowych Rzeczoznawców Techniki Samochodowej MOTOEXPERT (Association of International Motor Vehicle Experts MOTOEXPERT), ul. Urzędnicza 7a lok. 17, 25-729 Kielce, Poland, KRS 0000457628 (the "Association"), and the expert identified in the application form (the "Partner"). The Partner's data from the form constitutes an integral part of this Agreement.

§2 Subject matter. Cooperation within the international MOTOEXPERT expert network: performing vehicle inspections and damage documentation in the Partner's area of operation, in accordance with the network's quality standard.

§3 Partner status. The Partner is an independent business. This Agreement creates no employment relationship, partnership, or agency. No exclusivity for either party. The Association does not guarantee any volume of assignments.

§4 Type A assignments (inspection for the Association). The Partner performs inspections and documentation (photographs, protocol per the MOTOEXPERT checklist) as a subcontractor; the final report is prepared by the Association. The Partner's fee is agreed per assignment prior to its acceptance. Completion time: 48–72 h from confirmation of acceptance, unless otherwise agreed.

§5 Type B assignments (referred to the Partner). The Partner performs the complete expert service and invoices the end client in its own name. For the referral, the Association is entitled to a commission of 10% of the net fee, settled monthly based on the statement in the network's settlement system.

§6 Entry fees. None. Joining the network is free of charge (commission model).

§7 Quality standard. The Partner operates within the frameworks of DIN EN ISO/IEC 17024 and VDI-MT 5900-2 and the network's checklists and documentation format. The Association has the right to audit the quality of completed assignments. Completion of the standardisation training (e-learning) is a condition of Partner status; Elite status requires an examination and periodic review.

§8 Ongoing requirements. Throughout the term, the Partner maintains: (a) a valid entry in the relevant register/list of experts of its country, (b) a valid professional liability insurance policy, (c) up-to-date data in the network system. The Partner promptly reports the loss of the entry or policy. Failure to update after system reminders results in suspension from assignment routing.

§9 Scope of activities. The Partner provides expert services only (technical assessment of damage and vehicle value). Within the network, the Partner provides neither legal representation nor claims settlement on behalf of the client; clients' legal needs are referred to a recommended lawyer specialising in road traffic law.

§10 Trademark. The Association grants the Partner a non-exclusive, non-transferable licence to use the MOTOEXPERT mark solely during the term of the Agreement, in connection with network assignments and in accordance with the branding guidelines. Spelling of the name: always in capital letters. The licence expires upon termination.

§11 Non-circumvention. During the term and for 24 months after its end, the Partner shall not serve clients acquired through the network while bypassing the Association, nor refer them to third parties in order to circumvent the commission.

§12 Confidentiality and personal data. The Partner keeps confidential all information on clients, cases and network systems. The Partner processes personal data of injured parties solely to perform the assignment, under the data processing agreement in Annex 1 (Art. 28 GDPR).

§13 Term and termination. Agreement for an indefinite term. Notice: 30 days, documentary form. Immediate termination by the Association: loss of the register entry or liability policy, material breach of the quality standard, breach of §§9–12.

§14 Conclusion and form. The Agreement is concluded in documentary form (Article 77² of the Polish Civil Code) by online acceptance. The acceptance record (UTC timestamp, IP address, SHA-256 checksum of the text, e-mail confirmation) constitutes proof of conclusion. The Partner receives a PDF copy with the evidence metric.

§15 Law and disputes. Polish law. Court with jurisdiction over the Association's seat. In bilingual versions, the Polish text prevails.

Annex 1 — Data Processing Agreement (DPA)

ZAŁĄCZNIK 1 — UMOWA POWIERZENIA PRZETWARZANIA DANYCH (DPA) v1.0 [PL wiążący]

  1. Role: Administrator — Stowarzyszenie (§1 Umowy). Podmiot przetwarzający — Partner.
  2. Przedmiot i czas: przetwarzanie danych osobowych w celu wykonywania zleceń w ramach Umowy Partnerskiej; przez okres jej obowiązywania.
  3. Charakter i cel: zebranie dokumentacji szkody (oględziny, fotografie, protokół) i przekazanie Administratorowi.
  4. Rodzaj danych: identyfikacyjne i kontaktowe poszkodowanych/właścicieli pojazdów, dane pojazdu (VIN, nr rejestracyjny), dokumentacja i fotografie szkody. Dane szczególnych kategorii nie są objęte poleceniem; incydentalne wystąpienie (np. na fotografiach) — minimalizacja i niezwłoczne zgłoszenie Administratorowi.
  5. Kategorie osób: poszkodowani, właściciele i użytkownicy pojazdów, uczestnicy zdarzeń.
  6. Polecenia: przetwarzanie wyłącznie na udokumentowane polecenie Administratora (Umowa + system zleceń).
  7. Poufność: dostęp tylko dla osób upoważnionych, zobowiązanych do poufności.
  8. Bezpieczeństwo (art. 32 RODO): szyfrowana transmisja, kontrola dostępu, zabezpieczone urządzenia, kopie zapasowe.
  9. Podpowierzenie: wyłącznie za uprzednią zgodą Administratora w formie dokumentowej; podprocesor związany tymi samymi obowiązkami.
  10. Prawa osób: Partner wspiera Administratora w realizacji żądań z art. 12–22 RODO.
  11. Naruszenia: zgłoszenie Administratorowi bez zbędnej zwłoki, nie później niż 24 h od wykrycia.
  12. Audyt: prawo Administratora do audytu zgodności po uprzedzeniu 7 dni.
  13. Po zakończeniu: usunięcie lub zwrot danych według wyboru Administratora, z zastrzeżeniem obowiązków archiwizacyjnych prawa właściwego dla Partnera.
  14. Odpowiedzialność: Partner odpowiada za szkody wynikłe z przetwarzania niezgodnego z niniejszym DPA.
  15. Prawo i język: prawo polskie; w wersjach dwujęzycznych rozstrzyga tekst polski.

ANNEX 1 — DATA PROCESSING AGREEMENT (DPA) v1.0 [EN courtesy]

  1. Roles: Controller — the Association (§1 of the Agreement). Processor — the Partner.
  2. Subject and duration: processing of personal data to perform assignments under the Partnership Agreement; for its term.
  3. Nature and purpose: collecting damage documentation (inspection, photographs, protocol) and transferring it to the Controller.
  4. Data types: identification and contact data of injured parties/vehicle owners, vehicle data (VIN, registration number), damage documentation and photographs. Special categories are not instructed; incidental occurrence (e.g. in photographs) — minimisation and prompt notification to the Controller.
  5. Data subjects: injured parties, vehicle owners and users, accident participants.
  6. Instructions: processing only on the Controller's documented instructions (Agreement + assignment system).
  7. Confidentiality: access restricted to authorised persons bound by confidentiality.
  8. Security (Art. 32 GDPR): encrypted transmission, access control, secured devices, backups.
  9. Sub-processing: only with the Controller's prior consent in documentary form; sub-processor bound by the same obligations.
  10. Data subject rights: the Partner assists the Controller with requests under Arts. 12–22 GDPR.
  11. Breaches: notification to the Controller without undue delay, no later than 24 h from detection.
  12. Audit: the Controller may audit compliance upon 7 days' notice.
  13. After termination: deletion or return of data at the Controller's choice, subject to the Partner's statutory retention duties.
  14. Liability: the Partner is liable for damage resulting from processing contrary to this DPA.
  15. Law and language: Polish law; in bilingual versions, the Polish text prevails.
Annex 3 — Branding guidelines

1. Nazwa MOTOEXPERT — zawsze wielkimi literami, bez modyfikacji.
2. Kolory znaku: #CC0000 / #000000 / #FFFFFF.
3. Logo bez zmian proporcji, kolorów i elementów; użycie wyłącznie w okresie umowy i w związku ze zleceniami sieci.
4. Wzór oznaczenia Partnera: „Partner sieci MOTOEXPERT".
5. Zakaz rejestrowania domen, profili społecznościowych, firm i znaków zawierających MOTOEXPERT.
6. Zakaz płatnej reklamy z użyciem znaku bez odrębnej zgody Stowarzyszenia.

EN:
1. The MOTOEXPERT name — always in capital letters, unmodified.
2. Mark colours: #CC0000 / #000000 / #FFFFFF.
3. Logo without changes to proportions, colours or elements; use only during the term and in connection with network assignments.
4. Partner designation template: "MOTOEXPERT Network Partner".
5. No registration of domains, social profiles, companies or marks containing MOTOEXPERT.
6. No paid advertising using the mark without the Association's separate consent.

Annex 2 — Documentation checklist / report standard: in preparation. It will be delivered to the Partner before the first assignment and is not part of the text covered by the checksum above.

How to verify the checksum. The SHA-256 sum is computed from the Agreement text in its source form (UTF-8 encoding, LF line endings, no leading or trailing whitespace). The same sum is stored with every online acceptance together with the timestamp and IP address and evidences exactly which text was accepted.
